Terms of Corporate Engagement & Advisory Scope
Operating principles, jurisdictional structure, and trade protocol disclaimers for sovereign and private counterparts.
These Terms of Corporate Engagement & Advisory Scope define the contractual, institutional, and preliminary communication parameters under which GRIDGLOBAL ASCENT PVT LTD and GRIDAFRO SARL (collectively "GRIDGLOBAL" or "the Firm") engage with sovereign governments, multilateral institutions, institutional off-take counterparties, and private infrastructure consortia.
Jurisdictional Allocation & Dual Operating Entities
GRIDGLOBAL operates through two legally autonomous, jurisdictionally allocated operating entities designed to address specialized corridors of international commerce and sovereign execution:
GRIDGLOBAL ASCENT PVT LTD
Incorporated in the Republic of India
Serves as the Corporate Headquarters responsible for Asian and international structured trade finance, cross-border banking coordination, consortium management, digital platform architectures, and off-take placement across Indian, Middle Eastern, and Asian industrial markets.
GRIDAFRO SARL
Incorporated in the Republic of Chad (N'Djamena)
Serves as the Regional Operating Entity managing Sahelian origin aggregation hubs, primary processing facilities, bonded logistics concessions, agricultural cooperatives, and intermodal export corridor execution connecting N'Djamena to Gulf of Guinea maritime gateways.
Preliminary Communication Scope & Non-Binding Advisory Status
All content, technical specifications, harvest calendars, and trade frameworks published on www.thegrids.world or delivered via initial digital dossiers represent preliminary institutional profiles and commercial capabilities.
Non-Binding Transaction Covenant:
• No Binding Offer of Sale or Financing: Informational dossiers, indicative commodity purity grades, origin yields, infrastructure pipeline milestones, and investment allocations do NOT constitute a binding financing commitment, irrevocable offer of sale, or sovereign concession award.
• Execution Contingencies: Commercial transactions are binding only upon execution of bilateral Sale and Purchase Agreements (SPAs), formal Letters of Credit (LCs), Consortium Charters, or Public-Private Partnership (PPP) concession contracts signed by authorized corporate signatories.
• Mutual NCNDA Mandate: Deep commercial due diligence, farmgate pricing schedules, and proprietary logistics routings are disclosed exclusively following execution of International Chamber of Commerce (ICC) Non-Circumvention, Non-Disclosure & Working Agreements (NCNDA).
Intellectual Property, Terroir Models & Trade Corridors
All proprietary frameworks, operational mottos, terroir schemas, trade corridor mappings, and digital systems published across the platform are the exclusive intellectual property of GRIDGLOBAL:
- Operational Frameworks & Mottos: The trade paradigm "SOURCE. PROCESS. ADD VALUE. DISTRIBUTE. EXPORT." and the core corporate values "Trade with Integrity. Build Local Value. Create Long-Term Partnerships." are proprietary brand assets.
- Terroir Mapping & Agro-Corridor Schemas: Regional aggregation methodologies across Chad, Nigeria, Cameroon, and Sudan—including yield projections and seasonal harvest cycles—represent protected commercial trade secrets.
- Digital Architecture & Code: Platform code, design token systems, multilingual translation trees, and custom dispatch protocols are protected under copyright and international conventions. Scraping, unauthorized cloning, or extraction is strictly prohibited.
